Information and statements regarding Inner Ecology’s products have not been evaluated by the Food and Drug Administration and are not intended to diagnose, treat, cure or prevent any disease.

Inner Ecology is a supplier of herbal products of plant, animal and mineral origin that are grown, manufactured, tested and/or otherwise distributed by third parties. Inner Ecology neither grows nor conducts independent testing of any of the herbs included in its products. Inner Ecology purchases its herbs from established manufacturers and distributors who subject the herbs to rigorous testing and comply with current Good Manufacturing Practices (cGMP). Inner Ecology purchases herbal medicinals based upon market conditions, and thus the availability, price, cut, color and appearance of certain Inner Ecology products may vary from time to time.

2. Member Accounts.

You must register with Inner Ecology in order to place any orders from this website or by any other means. Inner Ecology sells products only to certain health care practitioners and health related businesses. As such, as part of your application, you are required to provide us with certain information about yourself, including without limitation, your NCCAOM board certification number. If you are a health-related business with multiple eligible practitioners, then each practitioner must register with Inner Ecology and provide their respective NCCAOM certification numbers in order to place an order for their patients.

When you set up an account with us and provide such data, you represent and warrant that: (a) the information about yourself is true, accurate, current, and complete (apart from optional items), and (b) you will maintain and promptly update your account data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or if Inner Ecology has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Inner Ecology has the right to suspend or terminate your account and refuse any and all current or future use of the Inner Ecology website or other ordering procedures. Each order that you place through this website or by any other means with Inner Ecology constitutes a statement that the information then included in your member account is accurate and complete at the time such order is placed, and that you are a member and in good standing with the NCCAOM.

You are responsible for maintaining the confidentiality of your password and customer username, and are fully responsible for all activities that occur in your account. You agree to (a) immediately notify Inner Ecology of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account by closing your browser at the end of each session. Inner Ecology will not be liable for any loss or damage arising from your failure to comply with these requirements.

3. Conditions and Restrictions on Use.

You acknowledge and agree that Inner Ecology may terminate your access to the Inner Ecology website or ordering procedures should you fail to comply with these Terms and Conditions or any other guidelines or rules published by Inner Ecology. Any such termination shall be at Inner Ecology’s sole discretion and may occur without prior notice, or any notice. Inner Ecology further reserves the right to terminate any user’s access to www.innerecology.com and its subsidiary sites for any conduct that Inner Ecology, at its sole discretion, believes is or may be directly or indirectly harmful to other users, to Inner Ecology or its subsidiaries, affiliates, or business contractors, or to other third parties, or for any conduct that violates any local, state, federal, or foreign laws or regulations. Inner Ecology further reserves the right to terminate any user’s access to www.innerecology.com and its subsidiary sites for any reason or for no reason at all, at Inner Ecology’s sole discretion, without prior notice, or any notice. You are personally liable for any orders placed or charges incurred through your account prior to termination. You agree you will not distribute, publish, transmit, modify, display or create derivative works from or exploit the contents of this site in any way. Inner Ecology does not discriminate on the basis of age, gender, race, ethnicity, nationality, religion, sexual orientation, or any other protected status.

4. Accuracy of Information.

We attempt to ensure that information on this website or included in any other communications (including, without limitation, the information included in the tool described in Section 5 below) with our customers is complete, accurate and current. Despite our efforts, the information on this website or included in communications with our customers may occasionally be inaccurate, incomplete or out-of-date. All features, content, specifications, products and prices of products and services described or depicted on this website are subject to change at any time without notice. We make no representation as to the completeness, accuracy or currentness of any information on this website or included in any communications with our customers. For example, products included on this website may be unavailable, may have different attributes than those listed, or may actually carry a different price than that stated on this website. In addition, we may make changes in information about price and availability without notice. Inner Ecology does not guarantee that the functions contained in this website will be uninterrupted or error-free, that this website or its server will be free of viruses or other harmful components, or that defects will be corrected even if Inner Ecology is aware of them.

5. Ordering.

Once orders have been placed, they cannot be changed, and you will be charged for their full amount. Full amount includes product cost, any applicable administrative processing or preparation fee, delivery or shipping fees, and any applicable tax. We reserve the right, without prior notice, to limit the order quantity on any product or service and/or to refuse service to any customer. We also may require verification of information prior to the pick-up or acceptance of any order.

As a convenience to its customers, Inner Ecology may from time to time provide a proprietary spreadsheet or other software-based tool for the purposes of assisting its customers’ in calculating the cost of their orders, enabling submission of orders via electronic mail and enhancing customers’ record-keeping abilities regarding their patients’ formulae. This proprietary tool will contain within it all the then-current information necessary to facilitate easy cost calculation (of, for example, prescribed herbal formulae and any special preparations needed, shipping or delivery, administrative fees, and any mark-up amount selected by the customer), ordering and record-keeping, assuming it is properly used. While Inner Ecology will attempt to ensure that the information included in such tool is complete, accurate and current, we cannot guarantee the completeness, accuracy or currentness of such information, and use of such tool is subject to the disclaimers and other terms and conditions set forth in Section 4 above. Inner Ecology will from time to time update the information included in such proprietary tool, and customers should under all circumstances use the most recent version of such tool, which will be available for download on this website.

Instructions for use of this proprietary tool will be embedded within the tool itself, available in the form of video tutorial, and also listed on this website. Although the Inner Ecology staff may provide basic technical assistance upon request by the customer, it is the responsibility of the customer to follow instructions and use the tool correctly, as customers will be charged for the full amount of any orders.

The proprietary tool described above is the intellectual property of Inner Ecology solely. Except for the limited purposes set forth herein, the tool described in this Section 5 may not be copied, reproduced, modified, republished, uploaded, posted, transmitted, or distributed in any form or by any means without Inner Ecology’s prior written permission.

6. Privacy.

Inner Ecology is committed to protecting the privacy and accuracy of your confidential information to the fullest extent possible, subject to provisions of state and federal law. Other than in response to subpoenas or other legal instruments that authorize access, personal information is not actively shared. In particular, we do not re-distribute or sell personal information collected on our web server or via other means of communication. Your personal information, your prescriptions and your patients’ personal information are used by us to facilitate orders you place with us, and may, from time to time, be used by us to notify you of promotions, company and product updates, and to send you informative materials such as our newsletter. However, you may opt to have us not send you any of these notices or materials at any time by contacting us through email or by telephone.

7. Payment Terms; Credit Card Billing and Security.

Payment to Inner Ecology for all clinician orders may be made either: (1) by the clinician on the patient’s behalf; or (2) by your patient directly if you have signed up for the patient direct payment (PDP) option and your patient’s registration has been received and approved by Inner Ecology. Inner Ecology designed and implemented the PDP option as an accommodation to our clients and to further improve the efficiency and delivery of the ordering process. Regardless of whether your individual patient(s) participate in the PDP option, as the ordering clinician, you agree to remain ultimately responsible for payment to Inner Ecology for all orders you make. Pursuant to the terms of the PDP option, Inner Ecology will in the first instance attempt to collect payment via the individual patient’s chosen method. However, if Inner Ecology cannot collect payment directly from the patient for any reason, including but not limited to the patient’s refusal to make such payment, Inner Ecology shall collect payment from the ordering clinician pursuant to the clinician’s chosen payment method. If Inner Ecology is required to charge a clinician’s account for failure of its patient to make payment when due, Inner Ecology shall make no further efforts to collect payment directly from the patient and you, as clinician, agree to be solely responsible for any further collection efforts.

For clinician direct payments, we accept ACH payments (direct debit from your checking account) as well as Visa, MasterCard, and Discover credit cards. Money orders, cashier’s checks, company checks and personal checks are accepted only if previously approved by Inner Ecology. Please be sure to provide all required and accurate information to facilitate the ACH and/or credit card payments, including, if applicable, the exact billing address and telephone number for your credit card (i.e., the address and phone number the applicable bank has on file for you). Incorrect information may cause a delay in processing your order or an additional fee. If Inner Ecology is unable to process your payment for any reason applicable to your chosen payment method, including but not limited to insufficient funds or credit card denial, Inner Ecology may charge you, and you agree to pay, an additional fee equal to the greater of $20 or the cost to Inner Ecology to appropriately reprocess such payment.

Whether you choose to pay via ACH or with a credit card, you agree that you allow us to bill your bank account or your credit card respectively for the total amount (including delivery, shipping and handling, tax, and any related administrative processing or preparation fees, as indicated above) of any order you submit to us, and you will be charged by your chosen method upon placement of your order. Our website uses SSL (Secure Socket Layer) encryption to secure your personal information. SSL keeps others from seeing your personal information by scrambling it so that only your web browser, as well as the server of our website, can decipher it. In the event of an unauthorized use of your payment information, however, you should notify your credit card provider or issuing bank in accordance with its reporting rules and procedures. In no event will Inner Ecology be liable for unauthorized use by a third party.

11. Receiving Orders.

Consult the website for current compounding and business hours at Inner Ecology. Orders will be compounded within 12 compounding hours, as listed on the Inner Ecology website, of an Inner Ecology employee receiving the order. Timeframes for the pick-up, delivery, and shipping of orders are also calculated beginning at the receipt of the order by Inner Ecology, not at the time the order was placed. Customers will receive an automatic email from Inner Ecology notifying them of the receipt of their orders.

12. Pick-Up, Delivery or Shipping.

You or your patient may pick-up any order at our office during our posted business hours. Consult the website for our current business hours. There are no fees for order pick-ups by you or your patients at our office during Inner Ecology’s business hours. After-hour pick-up may, from time to time, be made available upon request by the customer. Any after-hour pick-up charges relevant to a given order will be included in each order’s total and noted on each invoice or receipt. If you or your patient elect to pick-up an order at our office, risk of loss and title to items purchased from this website pass to you upon your or your patient’s physical receipt of such order upon pick-up at our office; provided, however, that in the event that you and your patient fail to pick-up any order within 14 days of receiving notice that such order is available for pick-up, we reserve the right to dispose of the Inner Ecology product(s) included in such order without any liability therefore.

You may also select to have any order delivered by bicycle courier to a specified address within a roughly five-mile radius of our formulation facility, as designated on our secure website. We provide this service via independent contractors, or when necessary via an independent professional courier service, and make all attempts to ensure delivery within one business day (24 hours) of receipt of your order. Fees are listed at a fixed rate for deliveries within our designated zones: Zone 1, Zone 2, and Zone 3. Rush services (in other words, any delivery required in under twenty-four hours) are not currently available. If you or your patient elects to have an order delivered by bicycle courier, risk of loss and title to items purchased pass to you upon the bicycle courier’s physical receipt of such order at our office passes to the cyclists themselves once they leave our office.

Finally, you may choose to have any order shipped to a location within the continental United States. We provide this option via USPS. Shipped items generally arrive within three business days from the receipt of your order; however, since we do not provide the service ourselves, we cannot guarantee this timeframe. If you or your patient elects to have an order shipped via USPS, risk of loss and title to items purchased pass to you upon physical receipt of your order by USPS.

13. Returns; Refunds.

Inner Ecology does not accept returns of any product unless there is a filling error on the part of Inner Ecology. Requests for any such return must be received by Inner Ecology not more than 7 days after the date of receipt by the customer or the patient, as applicable. No refunds will be issued in the case of submission errors on the part of the customer; it is your responsibility, on behalf of your patients, to take care in accurate submission of all orders.

14. Intellectual Property, Copyright and Trademark.

This website is owned and operated by Inner Architecture, Inc., dba Inner Ecology. Unless otherwise specified, all materials appearing on this website, including the text, site design, logos, graphics, icons, and images, as well as the selection, assembly and arrangement thereof, are the sole property of Inner Ecology and are legally trademarked. The use of any of these trademarks or service marks without Inner Ecology’s express written consent is strictly prohibited. Said court shall apply Illinois law to resolve the aforementioned dispute(s). Inner Ecology makes no representation that materials in this site are appropriate or available for use in other locations. If you access this website from outside the United States, be advised this site may contain references to products and services that are not available in your country or are otherwise prohibited by laws applicable to you.

18. General.

These terms and conditions contain the complete agreement between the parties. By checking the box below, you acknowledge that there are no representations or warranties by Inner Ecology with respect to this agreement other than those contained herein or elsewhere in a writing signed by an authorized corporate officer of Inner Ecology. Our failure to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision by use.
